Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and Partexia (“Partexia,” “we,” “us”) covering your use of the Partexia mobile application and the partexia.com website (together, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Who may use the Service

Partexia is a professional tool intended for automotive locksmiths and related trades. You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of a business, you represent that you are authorized to accept these Terms for that business.

3. The Service

Partexia lets you enter or scan a Vehicle Identification Number (VIN) and retrieve OEM key-related part numbers - such as transponder keys, key fobs and remotes, and ignition lock cylinders - along with related reference information. We may add, change, suspend, or remove features at any time to improve the Service.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Keep your password secure and notify us promptly at support@partexia.com if you suspect any unauthorized use. Accounts are for individual use and may not be shared.

5. Subscriptions and billing

Access to Partexia is provided through a paid subscription. Subscriptions are sold and billed through the Apple App Store or Google Play and are subject to those stores’ terms. Unless you cancel, a subscription renews automatically at the end of each billing period. You can view, manage, or cancel a subscription from your Apple ID or Google account settings. Prices and features may change; where required, we will give notice before a change takes effect.

6. Acceptable use

You agree not to:

• Copy, scrape, bulk-download, resell, or redistribute the part data or any other content from the Service.
• Reverse engineer, decompile, or attempt to extract the source code or underlying database of the Service, except where permitted by law.
• Use the Service for any unlawful purpose or in a way that infringes the rights of others.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.

7. Accuracy and professional judgment

Part numbers, vehicle decodes, and related data are provided for reference and convenience. We work hard to keep this information accurate - curating it from dealer catalogs and cross-checking it - but we do not guarantee its accuracy, completeness, or fitment for any particular vehicle. You are responsible for verifying part numbers and fitment before ordering parts, cutting keys, or performing any work. Partexia is a professional aid and does not replace your own judgment.

8. Intellectual property

The Service, including the app, its curated database, content, design, and the Partexia name and logo, is owned by Partexia or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while you comply with these Terms. No other rights are granted.

9. Feedback

If you send us suggestions or feedback, you grant us the right to use it without restriction or compensation to you.

10. Third-party services

The Service relies on third parties, including public VIN-decoding sources, the Apple and Google app stores, and cloud infrastructure providers. We are not responsible for the availability, content, or practices of third-party services.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any data will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, Partexia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from incorrect parts, lost profits, or business interruption, even if advised of the possibility. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

13. Indemnification

You agree to indemnify and hold Partexia harmless from any claims, damages, or costs arising out of your misuse of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that could harm Partexia or others. Provisions that by their nature should survive termination - such as intellectual property, disclaimers, limitation of liability, and indemnification - will continue to apply.

15. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, notify you in the app. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws applicable in the jurisdiction where Partexia is established, without regard to its conflict-of-laws rules. The specific governing jurisdiction and venue will be confirmed at launch.
